Confidentiality Undertaking

MUTUAL CONFIDENTIALITY UNDERTAKING (DRAFT — PENDING LEGAL REVIEW)

This Confidentiality Undertaking is entered into between Muhimat Computer Consultancy Co. W.L.L. ("Muhimat", "Sanad", "we") and the party submitting materials through this form ("you", "Discloser").

1. Purpose. You are submitting requirements documentation (which may include a Software Requirements Specification, Business Requirements Document, Non-Functional Requirements, design files, or related materials) ("Confidential Information") for the sole purpose of receiving a proposal for software delivery services from Sanad.

2. Handling. We will use Confidential Information only to evaluate and prepare your proposal and, if you accept it, to deliver the resulting engagement. Access is limited to authorized personnel and systems directly involved in that work. Confidential Information will not be used to train any third-party or general-purpose AI model, and will not be disclosed to any third party without your consent, except as required by law.

3. Retention & deletion. Confidential Information is retained only as long as reasonably necessary for the purposes above. You may request deletion at any time by contacting us; we will confirm once deletion is complete, subject to any legal or contractual retention obligations then in effect.

4. No obligation. Submitting materials does not obligate either party to enter into any further engagement. Either party may decline to proceed at any time prior to acceptance of a proposal.

5. Governing law. [To be confirmed by counsel — expected Kingdom of Bahrain.]

By checking the box on the submission form, you confirm you have the authority to share the submitted materials under these terms and agree to them on behalf of yourself or the organization you represent.
